Foreign Minority Shareholder of an Oil Refinery (Oil & Gas Downstream)


Context

The majority local partner initiated an additional share issue to dilute the client's share, simultaneously organizing a tax audit to block accounts and force the sale of the share for a pittance.


Solution

Our White Collar Defense team blocked criminal risks for the director appointed by the client. In parallel, we initiated arbitration proceedings in London (LCIA) according to the shareholders' agreement and, using GR resources, attracted the attention of the relevant ministry to the conflict.


Result

Attack stopped. A settlement agreement was signed: the client exited the asset (Cash-out) at fair market valuation, preserving reputation and capital.
